ZENITH

Terms of Service

The agreement between you and the operator of Zenith. It covers what you are buying, what you are not, and who carries the risk.

Effective 1 September 202624 sections
Section 01

Agreement and acceptance

These Terms of Service (the "Terms") form a binding legal agreement between you ("you", "your", the "User") and the operator of Zenith ("we", "us", "our", the "Operator"), who operates the website at zenithmenu.com (the "Site") and distributes the software product known as Zenith (the "Software").

The Operator is established in a member state of the European Economic Area and is subject to its law, including the General Data Protection Regulation. The Operator does not publish its country of establishment on this page, and will disclose it on request through a support ticket, to any supervisory authority, and to any court or tribunal before which a claim is properly brought.

All communication with the Operator, including support, refund requests under Section 10, machine binding releases under Section 11, credential changes, rights requests and legal notices, is handled through the Zenith community server on Discord, which is the Operator’s sole published contact channel.

You accept these Terms, and they become binding on you, at the earliest of the following moments:

  • you sign in to the Site with a Discord account and an Account is created for you;
  • you complete a purchase of any Licence for the Software;
  • you redeem a Licence Key against an Account;
  • you download, install, load, run or otherwise use the Software or the loader; or
  • you tick, click or otherwise affirmatively indicate acceptance of these Terms.

If you do not agree to every part of these Terms, you must not sign in, must not purchase a Licence, and must not use the Software. Continued use after any revision constitutes acceptance of the revised Terms as described in Section 22.

Read Sections 14, 15, 16 and 17 carefully

They allocate risk, disclaim warranties, limit our liability, and describe the specific and material risk that your Rockstar Games, Social Club, Cfx.re or individual server accounts may be suspended or permanently banned as a result of using the Software.

Section 03

Eligibility

To purchase a Licence or use the Software you represent and warrant, on each occasion that you do so, that:

  • you are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction of residence, whichever is greater;
  • you have full legal capacity to enter into a binding contract, and have not previously had an Account terminated by us for cause;
  • you are not located in, under the control of, or a national or resident of any country subject to comprehensive trade sanctions administered by the jurisdiction in which the Operator is established, and you are not listed on any applicable restricted party, denied party or specially designated nationals list;
  • you own or otherwise lawfully possess a legitimate, non-pirated retail copy of Grand Theft Auto V on the Windows PC platform;
  • you hold a Discord account in good standing, which is required in order to sign in and to receive support; and
  • your use of the Software will not violate any law applicable to you.

We may require evidence of eligibility at any time and may suspend an Account pending that evidence. Providing false eligibility information is a material breach of these Terms.

Section 04

Accounts and Discord sign-in

Access to the Site is by Discord sign-in only. We do not operate a separate registration form, we do not issue a Site password, and we cannot recover access to a Discord account on your behalf.

4.1 Server membership

Membership of the Zenith community server on Discord is a continuing condition of access. Your dashboard opens only while you are a member. If you leave, are removed, or are banned from that server, your dashboard access ends immediately, whether or not your Licence is otherwise current, and no refund or extension arises from that loss of access.

4.2 Software credentials

When you first sign in, we generate a username and a password for use with the Software. These are separate from your Discord credentials and are shown to you in your dashboard. You may change either one, subject to the limits described in Section 11.

4.3 Your responsibilities

  • You are solely responsible for the security of your Discord account, including its password and any two factor method attached to it.
  • You are solely responsible for keeping your Software credentials, Licence Keys and session cookies confidential. We will never ask you for them.
  • You are responsible for all activity occurring under your Account, whether or not you authorised it, unless and until you notify us of a compromise.
  • You must notify us without undue delay, and in any event within seventy two (72) hours of becoming aware, of any unauthorised access to your Account or any loss or disclosure of a Licence Key.
  • Accounts are personal. Creating multiple Accounts or using multiple Discord accounts to circumvent a suspension, a chargeback ban, a rate limit, a credential change limit, or any other enforcement action is a material breach.
  • Accounts and Licences may not be sold, gifted, rented, lent, leased, traded or otherwise transferred to any other person, whether for value or not.
Section 05

Licence grant

Subject to your continuous compliance with these Terms and to payment in full of all applicable fees, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and run one (1) copy of the Software on one (1) computer at any one time, for the duration of your Subscription Term, solely for your own personal and non-commercial use.

5.1 What the Licence is not

The Software is licensed, not sold. No title, ownership interest, or intellectual property right in or to the Software passes to you under these Terms or under any purchase. All rights not expressly granted in this Section 5 are reserved by us and our licensors.

5.2 Machine Binding

Each Licence binds to a single computer the first time the Software runs against it. A bound Licence will not operate on a second computer while the binding stands. Section 11 describes how a binding may be released.

5.3 Scope

The Licence permits use of the Software with Grand Theft Auto V and the FiveM framework on the Windows PC platform only. No other platform, product, service, framework or game is within scope, and no support obligation of any kind arises in respect of anything outside that scope.

Section 06

Tiers and roles

Licences are sold in three durations across two tiers. Your Discord role is applied automatically and reflects the highest tier you currently hold.

LicenceTier, role and duration
7 DaysClassic tier. Grants the Classic role for seven consecutive calendar days from redemption.
30 DaysClassic tier. Grants the Classic role for thirty consecutive calendar days from redemption.
LifetimePremium tier. Grants the Premium role for the operational lifetime of the Software as defined in Section 12.4.

Where you hold more than one live Licence, the higher tier governs. Redeeming a Lifetime Licence while a Classic Licence is still running replaces the Classic role with the Premium role immediately, and the remaining Classic time is absorbed rather than refunded, credited or carried forward in any form.

Roles are reconciled automatically when you open your dashboard, immediately after a redemption, and on a scheduled sweep. A role is a convenience that reflects your entitlement. It is not itself the entitlement, and the presence or absence of a role does not alter what you have actually purchased.

Section 07

Restrictions on use

You must not, and must not permit or assist any third party to:

  • copy, reproduce, publish, distribute, upload, mirror, host, seed, or otherwise make the Software available to any person other than yourself;
  • sell, resell, sublicense, rent, lease, lend, or commercially exploit the Software, a Licence, a Licence Key, or access to an Account, except as an Authorised Reseller under Section 7.1;
  • reverse engineer, decompile, disassemble, deobfuscate, unpack, dump from memory, or otherwise attempt to derive the source code, algorithms, protection mechanisms, or internal structure of the Software, except and only to the extent that this restriction is expressly prohibited by applicable law;
  • modify, adapt, translate, patch, hook, hot-load, or create derivative works based on the Software;
  • remove, obscure, disable, tamper with, or circumvent any licensing check, authentication step, watermark, telemetry, integrity check, machine binding, or usage limitation contained in the Software or in the loader;
  • use the Software with any pirated, cracked, or otherwise unlawfully obtained copy of the Game;
  • use the Software in any automated, unattended, farmed, or multi-instance configuration, including account farming or key-selling operations;
  • use the Software to develop, test, train, benchmark or improve any competing product, or to extract data for that purpose;
  • use the Software in a manner that imposes an unreasonable or disproportionate load on our infrastructure or that of any Third Party Service;
  • use the Software to obtain, damage or interfere with the property, data or accounts of any other person, or to gain access to any system you are not authorised to access; or
  • use the Software in violation of any applicable law, including computer misuse, fraud, sanctions, export control, and consumer protection law.

Each item above is a material term. Breach of any one of them entitles us to terminate your Licence immediately under Section 19 without refund.

7.1 Authorised Resellers

The prohibitions on distribution and on resale do not apply to a person who holds a current written authorisation from us to act as a reseller (an "Authorised Reseller"). Nobody becomes an Authorised Reseller by asking, by paying us, by volume of purchases, or by any course of dealing. Authorisation exists only where we have granted it in writing and it has not been withdrawn.

An authorisation is personal to the individual or entity named in it, is non-transferable, is limited to the scope stated in it, and is revocable by us at any time on notice and with immediate effect for cause. Withdrawal of an authorisation does not invalidate Licence Keys already sold to end users in good faith before the withdrawal took effect.

An Authorised Reseller must, at all times:

  • sell only unredeemed Licence Keys that we issued to them for that purpose, and never redeem a key on a customer behalf;
  • never distribute, host, mirror or otherwise supply the Software binary or the loader itself, which remains prohibited to everyone under Section 7 without exception;
  • sell in their own name and as principal, so that their customer contract for the sale is with them and not with us;
  • make these Terms, the Refund Policy and the Privacy Policy available to every customer before purchase, and not vary, summarise or contradict them;
  • not describe themselves as the developer, publisher, owner or operator of Zenith, and not use our name or marks beyond identifying the product they are selling;
  • not represent that any warranty, guarantee, undetection claim, uptime commitment or support obligation exists beyond what these Terms state;
  • not bundle a Licence with any other product, service or in-game item, nor sell it below or above any price we have stipulated in the authorisation; and
  • handle their own customers refund requests under a policy no less favourable than our Refund Policy, and bear the cost of those refunds themselves.
Buying from anyone else gets you nothing

A Licence Key obtained from a person who is not an Authorised Reseller conveys no Licence, no support entitlement and no refund right, and may be revoked without notice or compensation. If you are unsure whether a seller is authorised, ask us in a ticket before you pay. We will tell you, and it costs you nothing to check.

We may publish a list of current Authorised Resellers. Where we do, any person not named on it is not authorised, whatever they claim. Acting as a reseller without authorisation, or continuing after an authorisation is withdrawn, is a material breach of these Terms and may additionally constitute trade mark infringement and passing off.

An Authorised Reseller acts as an independent contractor. Nothing in an authorisation creates a partnership, joint venture, franchise, employment or agency relationship, and no Authorised Reseller has authority to bind us, to accept service on our behalf, or to make any commitment in our name.

7.2 Talking about Zenith

Nothing in Section 7 stops you telling people the product exists. You are free, without asking us and without any licence from us, to promote, review, discuss, recommend, stream, record and post about Zenith, and to link to the Site or to our Discord server anywhere you like.

That freedom is about words, pictures and links. It is not permission to hand over anything a person could run. The prohibition in Section 7 on copying, publishing, uploading, mirroring, hosting or otherwise supplying the Software, the loader, a Licence Key or your credentials is unaffected, applies in full, and applies no matter how the sharing is framed.

When you talk about Zenith you must not:

  • state or imply that you are us, that you speak for us, or that you are sponsored by, partnered with, employed by or affiliated with us;
  • offer, promise or appear to offer licences, keys, support, refunds or account assistance, all of which come from us alone;
  • claim any warranty, guarantee, undetection claim, uptime figure or feature that these Terms do not support, or that is not true of the current build;
  • use our name, mark or wordmark as your own branding, in a channel or server name, or in any way likely to confuse people about who is behind it;
  • publish screenshots, recordings, logs or descriptions that expose the internal workings of the Software, which remains prohibited under Section 20; or
  • promote Zenith through spam, mass unsolicited messaging, misleading thumbnails or titles, or on any platform where doing so breaks that platform rules.
Before you send the loader to anyone, read this

The loader is not a neutral file. Once it has run on your machine it is tied to you, and the copy sitting in your folder is not the same as the copy you downloaded. Sending it to a friend can hand them the keys to your account, and everything done with those keys is treated as done by you.

A copy of the loader taken from your computer can carry, or lead directly to:

  • your saved login credentials, which are the same credentials shown on your dashboard and are all anyone needs to sign in as you;
  • session tokens that may still be valid, letting someone continue your session without needing your password at all;
  • the hardware identifier your Licence is bound to, and the fact that your Licence is bound to it;
  • the IP address your account was last seen from, recorded against your account by us and by our licensing provider;
  • the email address attached to your account; and
  • any configuration, profile or log file the loader has written next to itself, which reflects how you personally have used it.

The consequences land on you rather than on them. Under Section 4.3 you are responsible for everything done under your Account, so if the person you sent it to is banned, abuses a server, or gets your credentials leaked further, it is your account that answers for it. Under Section 5.2 the Licence is bound to one machine, so their attempt to run it collides with your binding and can lock you out of the product you paid for. Under Section 19.1 sharing the Software, a key or credentials is itself grounds for immediate termination without refund.

Talking about it is free. Handing over files is not.

Post about it, make a video, send someone the link to the Site. All of that is welcome and none of it needs our permission. Send them the loader instead and you have given away your own data, risked your own access, and breached Section 7 in one move that you cannot take back.

We may operate a referral or affiliate arrangement from time to time. Where we do, its terms are published separately and participation is by our written agreement. Absent such an agreement, you have no claim to commission, payment, credit or free access in respect of anyone who buys after hearing about Zenith from you.

This Section grants no licence in our name, mark, wordmark, logo or other intellectual property beyond the nominative use required to identify the product you are talking about. Section 18 continues to apply in full, and we may ask you to take down material that breaches this Section.

Section 08

Purchases, pricing and taxes

8.1 Prices

Prices are displayed on the Site in the currency shown at checkout and are subject to change at any time. The price that applies to a purchase is the price displayed at the moment you complete checkout.

8.2 Payment processing

Payments are processed by our third party payment provider. We do not receive, store, or have access to your full card number, card security code, or bank credentials. Your payment is additionally subject to that provider’s own terms and privacy policy, which you should read before purchasing.

8.3 Taxes

Displayed prices exclude any value added tax, goods and services tax, sales tax, use tax, duty, levy or similar charge unless the checkout expressly states otherwise. Where such a charge applies, it may be added at checkout by the payment provider, or, where it is not, you are responsible for assessing and remitting it to the relevant authority.

8.4 Currency conversion and bank fees

Any currency conversion charge, foreign transaction fee, intermediary bank fee or similar cost imposed by your card issuer or bank is your responsibility and is not refundable by us.

8.5 Failed and reversed payments

If a payment fails, is reversed, is charged back, or is otherwise not settled to us, any Licence issued in respect of that payment is void with immediate effect and may be revoked without notice.

8.6 Fraud screening

We and our payment provider may decline, delay, or cancel any order that fails fraud screening, without obligation to explain the specific signal that caused the decision.

Section 09

Delivery and redemption

Licence Keys are digital goods and are delivered electronically, ordinarily within a few minutes of a payment settling, to the email address you provide at checkout and on the order page shown by the payment provider. Delivery is deemed complete when the key is made available to you, whether or not you open, read, or act on it.

A key is redeemed by signing in to the Site with Discord and entering it under Redeem. A key can be redeemed once. On redemption it binds permanently to the Account that redeemed it and cannot afterwards be moved, reassigned, resold or refunded.

Redemption is the point of no return

Before you redeem, a key is a refundable product under Section 10. The moment you redeem it, it becomes a consumed entitlement on your Account and Section 10.4 applies. If you are unsure whether you want it, do not redeem it.

If a key has not reached you within twenty four (24) hours of a settled payment, open a ticket with your order reference and we will investigate. Non-delivery caused by a mistyped email address, a full inbox, or an aggressive spam filter is not a failure of delivery on our part, though we will re-issue where we reasonably can.

Section 10

Refunds and chargebacks

Short version

You get a refund if you ask within 48 hours and have not redeemed the key, or if the Software does not work and support could not fix it. Once a key is redeemed, it is yours and there is no refund. Talk to support before you talk to your bank.

This Section is summarised here and set out in full in the Refund Policy, which forms part of these Terms. Where the two differ, the Refund Policy governs.

10.1 The 48 hour window

You may request a refund by opening a ticket on our Discord server within forty eight (48) hours of the payment settling, provided the Licence Key has not been redeemed. Requests made after that window, or in respect of a redeemed key, will not be accepted except under Section 10.2.

10.2 Where the Software does not work

Separately from the window above, you may request a refund at any time within your Subscription Term where the Software will not launch or will not function on your machine and support has been unable to resolve it in a reasonable time. This route requires that you have actually contacted support and worked with them first. A refund is not available under this Section for a fault that you did not report.

10.3 What is not a fault

The following are expressly not defects for the purposes of Section 10.2: downtime following a Game or FiveM update as described in Section 12.3; a feature behaving as described but not as you assumed; antivirus or security software blocking the Software where the Software itself is not at fault; a Server Operator detecting, blocking or banning you; and any consequence of your Game or platform account being actioned.

10.4 Beyond the window

After 48 hours, or once a key has been redeemed, and to the fullest extent permitted by applicable law, all sales are final. No refund, credit, or exchange is available, except where a refund is required of us by mandatory consumer protection law that cannot be excluded by agreement.

10.5 Statutory withdrawal rights

The Software is digital content supplied otherwise than on a tangible medium. Where the consumer law of your jurisdiction provides a cooling off period for distance contracts, that period does not apply to such content where performance has begun with your prior express consent and with your acknowledgement that the right of withdrawal is thereby lost.

By completing checkout you expressly request that supply begins immediately on delivery of the Licence Key, and you acknowledge that you thereby lose your right of withdrawal. Where your local law does not permit that waiver, your statutory right is unaffected by this Section, and the window in Section 10.1 sits alongside it rather than replacing it.

10.6 Chargebacks

If you dispute a charge with your card issuer or bank rather than contacting us first, we reserve the right to terminate your Account and every Licence associated with it immediately and permanently, to refuse all future business with you, and to submit evidence of your purchase and use to the issuer. Where a chargeback is later resolved in our favour, reinstatement is at our sole discretion and may be conditioned on payment of the disputed amount plus any fee levied on us by the payment provider.

The window in Section 10.1 exists so that you never need to do this. Use it.

Section 11

Machine Binding and credentials

11.1 Changing computer

A Licence binds to one computer. That binding is released only by us, on request, so that the Licence can bind to a different computer. There is no self-service reset.

  • Open a ticket on our Discord server from the account that holds the Licence, and tell us what changed.
  • Requests are handled manually by a person. We aim to process them promptly but give no guaranteed turnaround and no service level applies.
  • Releases are intended for genuine hardware changes, operating system reinstalls and equipment failure. We may refuse a request, or impose a cooling off period between requests, where the pattern suggests Licence sharing rather than a genuine change.
  • Releasing a binding does not permit you to transfer the Licence to another person. Sections 4 and 7 continue to apply.
  • Repeated requests that appear designed to run one Licence across several users are a material breach and may result in termination without refund.

11.2 Changing your credentials

You may change your Software username and password from your dashboard. Each may be changed once every ninety (90) days. The limit exists because a credential change necessarily clears your Machine Binding, and without a limit it would function as an unrestricted self-service computer transfer, defeating Section 11.1.

If your credentials are compromised before that period elapses, open a ticket and we will change them for you rather than making you wait.

Section 12

Term, updates, availability and discontinuation

12.1 Subscription Term

A Classic Licence runs for seven or thirty consecutive calendar days from the moment of redemption, not from the moment of purchase. A Premium Licence runs for the operational lifetime of the Software as defined in Section 12.4. Licences do not renew automatically and we do not store payment credentials for recurring billing. To continue past expiry you must purchase and redeem a further key.

12.2 Stacking

Redeeming a further key of the same tier against an Account that already holds unexpired time adds the new period to the existing expiry rather than replacing it. Stacking operates within a tier. It does not apply across tiers, and Section 6 governs what happens when you hold both.

12.3 Updates and downtime

The Software depends on the specific builds of the Game and of FiveM that it was compiled against. When either is updated, the Software will ordinarily stop functioning until we publish a rebuilt version. This downtime is expected, is a normal part of the product, and does not extend your Subscription Term, entitle you to compensation, or constitute a defect.

We use reasonable efforts to publish rebuilds promptly but give no guaranteed timeframe and no availability commitment, uptime percentage or service level of any kind.

12.4 Meaning of Lifetime

Lifetime means the lifetime of the product, not of the purchaser

A Premium Licence lasts for as long as we continue to operate and distribute the Software. It is not a promise of perpetual operation, and it does not survive discontinuation of the Software.

We may discontinue the Software permanently, in whole or in part, at any time and for any reason, including where the Game Provider makes continued operation technically infeasible, commercially unviable, or legally untenable. Where we discontinue the Software, we will use reasonable efforts to give notice through the Site or the Discord server. Discontinuation does not give rise to a refund of a Premium Licence except where mandatory law requires one.

12.5 Changes to features

Features may be added, altered, degraded or removed at any time, including where a change to the Game or to FiveM breaks a feature or makes it unsafe to keep shipping. No specific feature, module, toggle or behaviour is guaranteed to exist in any future version, and the presence of a feature in marketing material describes the product at the time of writing rather than forming a contractual commitment.

Section 13

Third party services

The Site and the Software rely on independent providers. We are not responsible for their acts, omissions, outages, pricing, policy changes, or handling of your data beyond what we control.

FunctionWhat depends on it
DiscordSign-in, identity, server membership checks, tier roles, support tickets, announcements.
Licensing providerLicence validation, key redemption, Machine Binding, Software credentials.
PaymentsCheckout, payment capture, fraud screening, Licence Key issuance and delivery.
Hosting and CDNServing the Site, the dashboard, and the API used by both.
DatabaseStoring your Account record, entitlement mapping and activity log.

An outage at any of these providers may render the Site, the loader, or the Software temporarily unusable. Such outages are excluded from any liability we might otherwise have and do not extend a Subscription Term.

Section 14

Relationship with the Game Provider and account risk

You accept the risk to your accounts. We do not.

If your Rockstar Games, Social Club, Steam, Epic, Cfx.re or any individual server account is warned, restricted, suspended, wiped or permanently banned in connection with your use of the Software, that is your loss alone. No refund, credit, replacement licence, compensation or assistance is owed to you.

14.1 No affiliation

We are not affiliated with, endorsed by, sponsored by, licensed by, or in any way officially connected to Rockstar Games, Inc., Take-Two Interactive Software, Inc., Cfx.re, or any of their subsidiaries or affiliates. "Grand Theft Auto", "GTA V", "Rockstar Games" and "FiveM" are trademarks of their respective owners and are used on the Site solely for nominative identification of the software with which the Software is compatible.

14.2 Third party terms

Use of the Software is highly likely to breach the Game Provider’s end user licence agreement, terms of service and code of conduct, and the rules of any FiveM server you connect to. You acknowledge this, and you agree that you use the Software entirely at your own risk and on your own responsibility. Nothing in these Terms, and nothing said by us or by any member of our community, constitutes advice that such use is permitted.

14.3 Detection status

Any statement we make about detection describes our understanding at the time it was made and is not a warranty, guarantee or representation of any future state. Detection can change without warning, and individual Server Operators run their own systems that we neither see nor control.

Furthermore, no software can prevent a human being from observing your conduct in a session and reporting it manually. Manual reports by other players and by server staff are outside our control and remain a live risk regardless of the technical state of the Software.

14.4 Your acknowledgement

You expressly acknowledge that you have read this Section 14, that you understand the risk of losing progress, purchased in-game content, in-game currency, server whitelists, characters, and access to the Game entirely, and that you accept that risk as a condition of the Licence.

Section 15

Disclaimer of warranties

To the maximum extent permitted by applicable law, the Site and the Software are provided "as is" and "as available", with all faults and without warranty of any kind.

We expressly disclaim all warranties, conditions, representations and terms of any kind, whether express, implied, statutory or arising from a course of dealing or usage of trade, including without limitation any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement.

Without limiting the foregoing, we do not warrant that: the Software will meet your requirements; that its operation will be uninterrupted, timely, secure or error free; that any defect will be corrected; that it will remain compatible with any particular version of the Game or of FiveM; that it will function on any particular server; that it will remain undetected; that it is free of components your security software may classify as unwanted; or that any result obtained from its use will be accurate or reliable.

No advice or information, whether oral or written, obtained from us or through the Site or the Discord server, creates any warranty not expressly stated in these Terms.

Some jurisdictions do not allow the exclusion of implied warranties. In those jurisdictions the above exclusions apply to the fullest extent permitted, and any warranty that cannot lawfully be excluded is limited in duration to the shorter of thirty (30) days from purchase or the minimum period required by that law.

Section 16

Limitation of liability

To the maximum extent permitted by applicable law:

  1. 01in no event will we, our owners, operators, staff, contractors, contributors or suppliers be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, nor for any loss of profit, revenue, goodwill, opportunity, data, in-game progress, in-game currency, in-game items, purchased downloadable content, server access, or account access, however caused and on any theory of liability, whether in contract, tort (including negligence), strict liability or otherwise, and whether or not we were advised of the possibility of such damages;
  2. 02our total aggregate liability arising out of or relating to these Terms, the Site, or the Software, for all claims combined, will not exceed the greater of (a) the total amount you actually paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) ten euro (EUR 10.00); and
  3. 03the limitations in this Section 16 apply even if any limited remedy is found to have failed of its essential purpose.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain limitations, so parts of this Section may not apply to you.

Section 17

Indemnity

You agree to indemnify, defend and hold harmless the Operator and its owners, operators, staff, contractors and suppliers from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, penalties, fines, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  • your use or misuse of the Software or the Site;
  • your breach of these Terms or of any representation or warranty you make in them;
  • your breach of the Game Provider’s terms, of any Server Operator’s rules, or of any third party right, including intellectual property and privacy rights;
  • your violation of any applicable law; or
  • any content, instruction or material you submit to us or to the Discord server.

We reserve the right, at our own expense, to assume exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting available defences.

Section 18

Intellectual property

The Software, the Site, the Zenith name, the Zenith mark and wordmark, the user interface design, the source code, the compiled binaries, the documentation, and all associated copyrights, trade secrets and other intellectual property rights are and remain the exclusive property of the Operator and its licensors. These Terms grant you no rights in any of them beyond the narrow Licence in Section 5.

Any feedback, suggestion, bug report, feature request or idea you provide to us is given voluntarily and on a non-confidential basis. You grant us a perpetual, irrevocable, worldwide, royalty free, sublicensable licence to use, reproduce, modify and exploit it for any purpose without attribution or compensation.

You may not use our name, marks or branding in a way likely to cause confusion as to sponsorship or affiliation, nor register any domain, handle, or mark that is confusingly similar to ours.

Section 19

Suspension and termination

19.1 By us, for cause

We may suspend or terminate your Account, any Licence, and your access to the Site immediately and without prior notice or refund where we reasonably determine that you have:

  • breached any material term of these Terms, including any item of Section 7 or Section 20;
  • shared, resold, leaked or published the Software, a Licence Key, or Account credentials;
  • attempted to reverse engineer, crack, tamper with, or circumvent any protective mechanism or machine binding;
  • initiated a chargeback or payment dispute without first contacting support;
  • supplied false eligibility, identity or payment information;
  • harassed, threatened, doxxed or abused our staff or another user; or
  • used the Software in a way that exposes us to legal, financial or reputational risk.

19.2 By us, without cause

We may terminate any Licence without cause on notice, in which case we will refund the unused portion of a Classic Licence on a pro rata basis. Premium Licences terminated without cause and outside of a discontinuation under Section 12.4 will be refunded at our discretion having regard to the time elapsed since purchase.

19.3 By you

You may stop using the Software at any time and may request deletion of your Account as described in the Privacy Policy. Stopping use does not entitle you to a refund of unused time.

19.4 Effect of termination

On termination, the Licence ends immediately, your tier role is removed, you must cease all use of the Software and destroy every copy in your possession, and any Licence Key associated with the terminated Account is void. Sections 7, 14, 15, 16, 17, 18, 19.4, 21 and 23 survive termination.

Section 20

Community and conduct

The following apply on our Discord server in addition to Discord’s own Terms of Service and Community Guidelines:

  • no harassment, hate speech, threats, sexual content involving minors, doxxing, or targeted abuse of any person, whether a user, a member of staff, or a third party;
  • no sharing, requesting, advertising or brokering of Licence Keys, Accounts, cracked builds, or competing products;
  • no publishing of screenshots, recordings, logs or descriptions that expose the internal workings of the Software;
  • no impersonation of staff, and no claim to speak on our behalf;
  • no scam, phishing, malware, or fraudulent solicitation of any kind; and
  • no using the Software to target, harass, grief or extort a specific real person, and no coordinating others to do so.

Breach of this Section may result in removal from the Discord server, termination of your Licence under Section 19.1, or both. Because server membership is a condition of dashboard access under Section 4.1, removal from the server also ends your access to the Site.

Section 21

Governing law and disputes

These Terms and any dispute or claim arising out of or in connection with them, their subject matter or formation, whether contractual or non-contractual, are governed by and construed in accordance with the laws of the country in which the Operator is established, without regard to its conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

The courts of the country in which the Operator is established have non-exclusive jurisdiction to settle any such dispute or claim. Nothing prevents us from seeking injunctive or equitable relief in any court of competent jurisdiction to protect our intellectual property or confidential information.

Where you are a consumer habitually resident in the European Union or the European Economic Area, this Section does not deprive you of the protection of the mandatory provisions of the law of your country of residence, and you may bring proceedings in the courts of that country. Those protections apply regardless of the choice of law above, and where the two conflict, your national protections prevail.

Because the Operator does not publish its country of establishment on this page, you may request that country through a support ticket before commencing proceedings, and we will provide it. We will not use the absence of that information on this page as a defence to a claim, nor treat proceedings brought in your country of habitual residence as improperly brought for want of it.

Consumers resident in the European Union may also use the European Commission’s Online Dispute Resolution platform. We are not obliged to participate in, and do not commit to, alternative dispute resolution before any particular body.

21.1 Informal resolution first

Before commencing any formal proceeding, you agree to contact us and attempt in good faith to resolve the dispute informally for a period of at least thirty (30) days from the date we receive your written notice describing the dispute and the relief sought.

21.2 No class actions

To the maximum extent permitted by applicable law, disputes must be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, consolidated or representative proceeding.

Section 22

Changes to these Terms

We may revise these Terms at any time. The version in force is the one published at this address, identified by the effective date at the top of the page.

Where a revision materially reduces your rights or materially increases your obligations, we will use reasonable efforts to give notice through the Site, the dashboard, or the Discord server at least seven (7) days before it takes effect. Any other revision takes effect on publication.

Your continued use of the Site or the Software after a revision takes effect constitutes acceptance of it. If you do not accept a revision, your sole remedy is to stop using the Software. No refund arises from your disagreement with a revision.

Section 23

Section 24

Contact

We operate a single contact channel. Questions about these Terms, refund requests under Section 10, machine binding release requests under Section 11, complaints, and legal notices are all handled through the Zenith community server on Discord, linked in the footer of the Site.

Open a ticket from the Discord account you wish us to correspond with, and include:

  • your Zenith account username, shown on the License page of your dashboard;
  • your order reference, where the matter concerns a purchase;
  • a clear statement of what you are asking for; and
  • any deadline that applies, where you are giving formal notice.

We aim to acknowledge tickets promptly and to acknowledge formal legal notices within ten (10) business days of them being opened. We do not publish a postal address or an email address, and correspondence sent to any address purporting to be ours other than through the Discord server is not validly served on us.

Note
Support, refunds, machine binding releases and legal notices are handled only through the Zenith Discord server. No other address is ours.
